Nonprofit academic research institutions and their respective employees (each a “Licensee”) are permitted to use the EDBO+ web application (“Application”) (i.e., http://www.edbowebapp.com) developed by Princeton University and the University of California, Los Angeles (“Institution”) subject to the following terms and conditions (the “Ts and Cs”):
In all cases subject to the Ts and Cs defined above and by paragraphs 1-7 below, Institution grants to Licensee a nonexclusive, royalty-free, paid-up license under any copyrights Institution owns in the Application to use the Application solely for educational and academic research purposes (“Field of Use”). No right or license is granted to Licensee to any patent applications or patents under these Ts and Cs and all rights (other than the limited copyright license granted above) are reserved by Institution, including the right to pursue patent protection of any inventions disclosed in, related to, or incorporating Institution’s Application.
Licensee shall make appropriate acknowledgment and attribution regarding Licensee’s use of Institution’s Application in any publication.
Except as required in Section 2, Licensee shall not use the name, symbols, or marks of Institution, or any adaptation, abbreviation or derivative thereof, or the names or any of the Institution’s trustees, employees, or students, without the prior written permission of Institution.
IN NO EVENT SHALL INSTITUTION BE LIABLE TO ANY ENTITY OR PERSON (INCLUDING LICENSEE) FOR DIRECT, INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, ARISING OUT OF OR RELATED TO THIS LICENSE, ANY APPLICATION SECURITY BREACH OR SECURITY INTRUSION, OR THE USE OF INSTITUTION’S APPLICATION, EVEN IF INSTITUTION OR LICENSEE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. INSTITUTION SPECIFICALLY DISCLAIMS ANY AND ALL WARRANTIES, EXPRESS AND IMPLIED, INCLUDING, BUT NOT LIMITED TO, ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. INSTITUTION’S APPLICATION, AS WELL AS ANY RESULTS GENERATED BY THE APPLICATION, ARE PROVIDED "AS IS," WITHOUT ANY GUARANTEE OF COMPLETENESS OR VALIDITY.." INSTITUTION HAS NO OBLIGATION TO PROVIDE UPDATES OR MODIFICATIONS OF INSTITUTION’S APPLICATION THAT INSTITUTION MAY CREATE. INSTITUTION DOES NOT GUARANTEE THE SECURITY OF THE APPLICATION OR THE PREVENTION OF LOSS OF, ALTERATION OF, OR IMPROPER ACCESS TO, ANY INFORMATION OR APPLICATION THAT LICENSEE MAY PROVIDE.
This Agreement is subject to, and Licensee shall comply with, all applicable laws and regulations in exercising the license granted hereunder. It is Institution’s policy to remain fully compliance at all times with all U.S. export control regulations, including but not limited to the Export Administration Regulations; International Traffic in Arms Regulations; and embargo sanctions under the Office of Foreign Assets Control (OFAC). Hence, diversion of any kind of any item provided to Licensee contrary to U.S. laws is strictly prohibited. In the event that such diversion occurs, Institution shall not be held liable for any consequential liability, penalties, or enforcement actions undertaken by a U.S. Government agency or any other party in relation to such action.
The license granted to Licensee pursuant to these Ts and Cs will expire upon the earlier of the date Licensee ceases using the Application or one (1) year after the date Licensee first accessed the Application, provided Institution will at all times have the right to immediately terminate Licensee’s access and use of the Application for any reason whatsoever.
These Ts and Cs set forth the entire agreement between Institution and Licensee concerning the subject matter hereof and supersedes all previous agreements, written or oral, concerning such subject matter. These Ts and Cs shall be governed by and construed in accordance with the laws of the State of New Jersey, without reference to the conflict or choice of laws principles of any jurisdiction. Any and all claims arising under or related to these Ts and Cs shall be heard and determined only in the courts of the State of New Jersey, and Licensee irrevocably agrees to submit itself to the exclusive and personal jurisdiction of those courts.
